About the Role
As a Company Secretary & Legal Manager, you won’t just manage corporate filings—you’ll play a crucial role in enabling smooth daily operations. This role goes beyond board meetings and contracts; it involves owning legal operations, ensuring ground-level compliance, and mitigating risks critical to logistics. You’ll be expected to proactively safeguard the company from legal liabilities related to cash handling, asset misuse, tax-related actions, employment disputes, and vendor conflicts.
Key Responsibilities
Corporate Governance & Secretarial Work
Manage Board and shareholder meetings, filings with ROC/MCA, maintain statutory registers, and ensure Companies Act compliance.
Prepare and maintain all corporate legal documentation and authorizations for funding, new branches, and regulatory interactions.
Operational Legal & Risk Compliance
Define and enforce legal policies for COD handling, asset ownership, employee accountability, and fraud mitigation.
Support internal investigations and lead actions in cases of employee misconduct (e.g., misappropriation of funds or assets).
Draft SOPs for asset issuance and return, cash collection/reconciliation, and branch operations to ensure enforceable legal documentation.
Collaborate with city leads and HR for disciplinary action, warnings, and legal notices in breach cases.
On-ground Legal Issue Management
Handle field-level legal issues like vehicle seizures, tax raids, invoice discrepancies, and local regulatory escalations.
Ensure proper documentation protocols (like e-way bills, tax invoices, permits) are followed to avoid penalties or operational blocks.
Liaise with local authorities and compliance officers to resolve urgent matters on-ground.
Contracts & Vendor Legal
Draft, review, and manage vendor/franchise agreements, employment contracts, and NDAs with enforceable clauses for recourse.
Ensure legal recourse and recovery mechanisms are well-defined in all high-risk operational contracts.
Risk Management & Internal Compliance
Set up company-wide risk registers and audit mechanisms for legal & compliance functions.
Partner with Finance and Ops to ensure adherence to GST, labor laws, and warehouse/branch licenses.
Requirements
3–6 years of experience as a Qualified CS, preferably with LLB, in handling legal and corporate compliance.
Prior experience in logistics, supply chain, e-commerce, or operations-heavy startups is highly preferred.
Strong grip over contract law, operational liability, asset documentation, labor law, and regulatory compliance.
Hands-on and responsive; capable of managing both boardroom governance and field-level fire-fighting.
Ability to coordinate with multiple departments (Ops, HR, Taxation, City Teams) and handle sensitive issues professionally.
